AI SERVICES TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE (THIS “ADDENDUM”) BEFORE SUBMITTING ANY ORDER FOR, OR OTHERWISE USING, PIXELZ'S IMAGE TO VIDEO, MODEL TO FLAT, MODEL TO GHOST MANNEQUIN, AND MODEL SWAP AI SERVICES (EACH, AND COLLECTIVELY, THE “AI SERVICE”). THIS ADDENDUM SUPPLEMENTS AND FORMS PART OF THE PIXELZ TERMS OF SERVICE AVAILABLE AT WWW.PIXELZ.COM/TERMS/ (THE “GENERAL TERMS”), TOGETHER WITH PIXELZ'S PRIVACY POLICY, DATA PROCESSING AGREEMENT, AND ANY OTHER APPLICABLE RULES OR POLICIES (COLLECTIVELY, THE “AGREEMENT”). THE GENERAL TERMS EXPRESSLY EXCLUDE GENERATIVE AI SERVICES OR AI SERVICES FROM THEIR SCOPE. ACCORDINGLY, THIS ADDENDUM GOVERNS YOUR USE OF THE AI SERVICE. WHERE THIS ADDENDUM CONFLICTS WITH THE GENERAL TERMS AS TO THE AI SERVICE, THIS ADDENDUM CONTROLS; ALL OTHER SECTIONS OF THE GENERAL TERMS (INCLUDING PAYMENT, MARKETING, DISCLAIMERS, LIABILITY, TERM, AND GENERAL PROVISIONS) APPLY TO THE AI SERVICE EXCEPT AS EXPRESSLY MODIFIED BELOW.
YOUR (“THE CLIENT'S”) SUBMISSION OF AN IMAGE, CLICK-THROUGH ACCEPTANCE, OR OTHER USE OF THE AI SERVICE CONSTITUTES YOUR ACCEPTANCE OF THIS ADDENDUM.
1. The AI Service
- Image to Video is an artificial intelligence-powered generative service that takes a Client-submitted still image (and, where offered, accompanying text prompts, motion parameters, or reference clips) (“Input Content”) and produces a synthetic video output (“Output”) using machine learning models operated by Pixelz or its third-party model providers (the “Image to Video Service”).
- Model to Flat is an artificial intelligence-powered service that takes a Client-submitted still image of a garment worn by a human model (“Input Content”) and produces a still image Output depicting the same garment as a flat lay, with the model removed, using machine learning models operated by Pixelz or its third-party model providers (the “Model to Flat Service”).
- Model to Ghost Mannequin is an artificial intelligence-powered service that takes a Client-submitted still image of a garment worn by a human model (“Input Content”) and produces a still image Output depicting the same garment on a ghost mannequin, with the model removed, using machine learning models operated by Pixelz or its third-party model providers (the “Model to Ghost Mannequin Service”).
- Model Swap is an artificial intelligence-powered service that takes a Client-submitted still image of a garment worn by a human model (“Input Content”) and, using a substitute model selected by the Client from a database of models made available by Pixelz (each, a “Substitute Model,” and together, the “Model Database”), produces a still image (“Output”) depicting the same garment worn by the selected Substitute Model in place of the model depicted in the Input Content, using machine learning models operated by Pixelz or its third-party model providers (the “Model Swap Service”).
Image to Video, the Model to Flat Service, the Model to Ghost Mannequin Service, and the Model Swap Service are individually and collectively the “AI Service” as defined above. References to “Output” in this Addendum mean the video or still image file, as applicable, produced by the relevant AI Service.
The AI Service is fundamentally different from Pixelz's post-production services. Output is generated algorithmically, probabilistically. Pixelz conducts discretionary human or automated quality assurance (QA) reviews of the Output prior to delivery. This review does not constitute an express warranty of accuracy, aesthetic quality, or fitness for a particular purpose.
Pixelz may use its own proprietary models, licensed third-party models, or a combination of both to provide the AI Service. Pixelz may change, deprecate, or substitute underlying models at any time without liability, provided the AI Service continues to perform its core intended function.
2. Input Content
You are solely responsible for all Input Content You submit to the AI Service. By submitting Input Content, You represent and warrant that:
- You have the legal authority to enter into this Addendum and to submit the Input Content for processing;
- You own, or hold all necessary rights, licenses, consents, and releases (including any required model releases or likeness consents) for, all Input Content, including any person, brand, logo, trademark, or copyrighted element depicted;
- Where Input Content depicts an identifiable natural person, You have obtained that person's informed consent to have their image animated, altered, or synthetically depicted in motion by the AI Service, and to Pixelz's processing of that likeness as described in this Addendum;
- The Input Content does not infringe, misappropriate, or violate any third party's intellectual property, publicity, or privacy rights;
- The Input Content does not contain malicious code, and is not obtained, and will not be used, in violation of any applicable law; and
- The Input Content does not fall within the categories of Prohibited Content described in Section 5.
You shall indemnify and hold Pixelz harmless against any third-party claim alleging that Input Content, or Pixelz's processing of it, infringes any intellectual property, publicity, or privacy right, in accordance with Section 9 (Indemnification).
3. Output
Nature of Output
Output is generated by machine learning models and is inherently probabilistic. Pixelz does not guarantee that Output will be accurate, realistic, free of visual artifacts or distortions, or faithful to the Input Content, and Output may differ materially from what You expect or intend. Because the same or similar Input Content or prompts may be submitted by other Pixelz clients, Pixelz does not warrant that any Output is unique, and similar or substantially similar Output may be generated for other clients from similar inputs.
Pixelz makes no representation regarding the availability of copyright or other intellectual property protection for AI-generated Output in any jurisdiction. Pixelz makes no representation or warranty, express or implied, that use of the AI Service, including the Model Database or any Substitute Model made available through the Model Swap Service, will be free of likeness, publicity, or other third-party rights risk.
Ownership
Subject to Your full payment of all applicable fees and Your compliance with this Agreement, Pixelz assigns to You all right, title, and interest that Pixelz may hold in and to the Output. Pixelz retains all right, title, and interest in and to its underlying models, weights, training pipelines, software, and other Pixelz technology used to generate the Output, none of which is licensed or assigned to You by virtue of this Addendum.
Specific to the Model Swap Service: Subject to the same payment and compliance terms above, Pixelz grants You a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, display, and distribute the Substitute Model as synthetically depicted within the specific Output generated for You. Except for this perpetual use right embedded within the Output, You acquire no other rights, title, or interest in or to the Substitute Model or the Model Database.
Review and Regeneration
Because Output is generated algorithmically rather than manually edited, Pixelz does not warrant that any specific regeneration will resolve a perceived defect. Accordingly, all fees for completed generations are final, earned upon delivery to the platform, and non-refundable, regardless of aesthetic quality, temporal anomalies, or visual artifacts.
Model Improvement
The AI Service uses AI models operated by one or more third-party model providers. Pixelz's enterprise agreements with each such provider prohibit the use of Input Content, Output, or any other data submitted through the AI Service for training, fine-tuning, or otherwise improving the provider's underlying models, whether for Pixelz's benefit or that of any other customer. Accordingly, no third-party model provider will use Your Input Content or Output to train, fine-tune, or otherwise improve the AI models used to generate Output under the AI Service.
Where the AI Service also includes any Pixelz post-production processing of Your Input Content or Output, it is subject to Pixelz's data-use practices applicable to its standard post-production services, as described in the Data Processing Agreement available on Pixelz Platform, which may include the use of such data by Pixelz to improve Pixelz's own proprietary models, which usage shall not be traceable back to You, to Your Input Content or Output. Pixelz's post-production services are not generative: they involve human-assisted editing and enhancement of existing images and do not generate new visual content.
Pixelz may otherwise use Input Content and Output as reasonably necessary to operate, host, secure, and support the AI Service, including for troubleshooting, quality assurance, and fraud or abuse prevention.
4. AI Transparency & Disclosure Obligations
Content produced by the AI Service is generated and/or manipulated by artificial intelligence. Where applicable law — including Article 50 of the EU Artificial Intelligence Act (Regulation (EU) 2024/1689) or comparable state, national, or international synthetic-media disclosure laws — requires that AI-generated or manipulated content be disclosed to viewers or marked in a machine-readable and/or human-perceptible manner, You are solely responsible for providing that disclosure when You publish, distribute, or otherwise make Output available to third parties.
The Image to Video AI Service was placed on the market before 2 August 2026. Pixelz is therefore relying on the transitional period available to providers of synthetic-content systems already on the market before that date under Article 50(2) of the EU AI Act. Accordingly, Pixelz will not embed machine-readable AI credential in the metadata of the Output before 2 December 2026. Beginning 2 December 2026, Pixelz will embed such metadata in accordance with this Section. This transitional period applies only to Pixelz's provider marking obligation under Article 50(2); it does not delay, suspend, or otherwise affect Your disclosure obligations as a deployer under Article 50(4), which remain in full effect as described in this Section regardless of whether Output carries embedded metadata. You must not remove, disable, or falsify any such metadata.
Unlike the Image to Video Service, the Model to Flat Service, the Model to Ghost Mannequin Service, and the Model Swap Service were placed on the market on or after 2 August 2026. The transitional period described above under Article 50(2) of the EU AI Act does not apply to these AI Services. Accordingly, Pixelz will embed machine-readable AI credential in the metadata of Output produced by the Model to Flat Service, the Model to Ghost Mannequin Service, and the Model Swap Service from the date each such AI Service is first made available to You, without the delay described above. Your disclosure obligations as a deployer under Article 50(4) apply to Output from all AI Services regardless of when each AI Service was placed on the market.
If Output (a) depicts an identifiable natural person in a realistic manner such that a reasonable viewer could mistake it for authentic footage of that person, or (b) depicts an existing garment, object, place, entity, or event that has been generated, removed, replaced, or otherwise substantially altered by the AI Service such that a reasonable viewer could mistake the Output for an authentic, unaltered photograph or recording (each, a “Deepfake-Style Output”), You must ensure that any publication or distribution of the Output includes a clear and conspicuous disclosure that the content is AI-generated or manipulated, in accordance with applicable law.
5. Prohibited Uses
You must not submit Input Content to, or use Output generated by, the AI Service for any of the following purposes:
- Depicting any real, identifiable individual without that individual's informed consent, including for the purpose of impersonation, harassment, defamation, or non-consensual intimate imagery;
- Sexual content involving, or that could reasonably be interpreted as involving, a minor, in any form;
- Content intended to deceive viewers except where clearly and conspicuously labeled as satire, parody, or synthetic;
- Content that infringes any third party's intellectual property, publicity, or privacy rights;
- Content intended to defraud, mislead, harass, defame, or incite violence; and
- Any use that violates applicable law, including export control, sanctions, or data protection law.
Pixelz may reject or remove any Input Content or Output at its sole discretion and may suspend or terminate Your access to the AI Service immediately and without refund for any violation of this Section.
6. Delivery
Pixelz will make the Output available on the Pixelz platform. Estimated processing times vary by video length, resolution, model, and current system load and is expected to be:

Pixelz uses commercially reasonable efforts to process orders within the estimated timeframe but is not liable for processing delays, including those caused by high demand, model provider outages, or force majeure events as described in Section 10 of the General Terms.
7. Payment
Access to the AI Service requires an active subscription to a qualifying Pixelz plan, as set out in Section 6 (Delivery). In addition to the applicable subscription fee, use of the AI Service is billed on a per-generation basis, as set out in Pixelz's then-current price list, payable at the time each order is placed. Section 3 (Payment) of the General Terms applies to the AI Service.
8. Intellectual Property & Marketing
Section 4 (Intellectual Property Rights) of the General Terms applies to the AI Service as modified by Section 3 (Output) of this Addendum. Section 5 (Marketing) of the General Terms applies unmodified: Your use of the AI Service permits Pixelz to identify You as a customer in its marketing materials.
9. Indemnification
In addition to Your indemnification obligations under the General Terms, You agree to indemnify, defend, and hold harmless Pixelz, its subcontractors, model providers, licensors, and affiliates, and their respective directors, officers, employees, and agents, from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your Input Content;
- Your distribution, publication, or other use of Output, including any failure by You to provide disclosures required under Section 4; or
- Your violation of Section 5 (Prohibited Uses) or this Agreement; or
- Your selection or use of any Substitute Model through the Model Swap Service.
You acknowledge that Pixelz makes the Model Database available on an “as-is” basis and does not warrant that use of any Substitute Model will be free of likeness, publicity, or other third-party rights risk.
10. Disclaimer of Warranties
THE AI SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEITHER PIXELZ NOR ITS LICENSORS, MODEL PROVIDERS, OR SUBCONTRACTORS MAKE ANY WARRANTY, EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICE OR ANY OUTPUT, INCLUDING ANY WARRANTY OF ACCURACY, RELIABILITY, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, AND SPECIFICALLY DISCLAIM ANY WARRANTY THAT OUTPUT WILL BE FREE OF ERRORS, DISTORTIONS, OR UNINTENDED RESEMBLANCES TO REAL PERSONS, PLACES, OR THIRD-PARTY WORKS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
Section 7 (Limitation of Liability) and Section 8 (Basis of Bargain) of the General Terms apply in full to the AI Service, provided that Pixelz's aggregate liability arising from or in relation to the AI Service shall be limited to the total fees paid by You for the specific generation giving rise to the claim.
12. Term & Suspension
This Addendum remains in effect for as long as You use the AI Service and otherwise follows Section 9 (Term) of the General Terms. In addition to Pixelz's termination rights under the General Terms, Pixelz may immediately suspend or restrict Your access to the AI Service, without notice, if Pixelz reasonably believes Your use presents a legal, regulatory, or reputational risk to Pixelz, its model providers, or third parties.
13. General Provisions
Section 10 (General Provisions) of the General Terms, including its governing law, arbitration, amendment, severability, and entire agreement provisions, applies to this Addendum. In the event of any conflict between this Addendum and the General Terms as to the AI Service, this Addendum controls.
